These Terms of Service govern access to and use of the VMS.ai website, applications, and related services (collectively, the Services). By clicking “I agree”, creating an account, using theServices, or otherwise accessing the Services, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.
VMS.ai provides software and related services intended for business and professional use.Certain features may be in beta and may change, be discontinued, or be subject to additional terms.
You must be at least 18 years old to use the Services. You are responsible for maintaining the confidentiality of account credentials and for all activity under your account. You agree to provide accurate information and keep it current, and to promptly notify us of any suspected unauthorized use.
Some Services require payment and may be offered under subscription plans or separate written agreements. If a separate written agreement applies, it controls to the extent it conflicts with these Terms. Unless otherwise stated, fees are non-refundable to the extent permitted by law and are exclusive of taxes.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. You may not:
reverse engineer, decompile, or attempt to extract source code except where permitted bylaw;
interfere with or disrupt the Services, including introducing malware or performing unauthorized security testing;
use the Services to violate law, infringe rights, or transmit unlawful, harmful, deceptive, or abusive content;
scrape, harvest, or extract data at scale, or use automated means to access the Services except as expressly permitted;
access or use the Services to build or train a competing product or service, except as permitted by law;
circumvent access controls or use another user’s account without permission.
You may submit or upload data, content, files, or other materials (Customer Content). You retain ownership of Customer Content. You grant us a license to host, process, transmit, and display Customer Content solely to provide, secure, maintain, and improve the Services, and as otherwise described in our Privacy Policy or applicable written agreements.
You represent that you have all rights needed to provide Customer Content and to grant the permissions described, including any necessary consents from employees, contractors, or endusers.
We may create de-identified, aggregated, or anonymized data derived from use of the Services(for example, feature usage metrics, performance statistics, and general trends). We may use such data to operate, secure, maintain, and improve the Services, develop new features, and for business analytics. De-identified/aggregated data is not intended to identify you or any individual.
The Services, including software, documentation, designs, and trademarks, are owned by VMS.ai and its licensors. If you provide suggestions or feedback, you grant us a perpetual, irrevocable, worldwide right to use that feedback without restriction or compensation.
The Services may integrate with third-party services. Your use of third-party services is subject to the third party’s terms and policies. We are not responsible for third-party services or their availability.
Our Privacy Policy, Cookies Policy, and Accessibility Policy are incorporated by reference and describe how we handle information and our accessibility approach.
Each party will protect the other’s confidential information using reasonable care and will use it only as needed to perform under these Terms or any applicable written agreement.
The Services are provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free.
To the maximum extent permitted by law, VMS.ai will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data. Our total liability for claims arising from or relating to the Services will not exceed the amounts paid by you to VMS.ai for the Services in the twelve (12) months preceding the event giving rise to the claim.
You will defend, indemnify, and hold harmless VMS.ai and its affiliates, officers, directors, employees, and agents from claims arising out of your Customer Content, your use of theServices in violation of these Terms, or your violation of law or third-party rights.
We may suspend or terminate access if we reasonably believe you violated these Terms, if needed to protect the Services or others, or if required by law. Upon termination, your license ends and you must stop using the Services. Provisions intended to survive will survive.
These Terms are governed by the laws of the State of Delaware, excluding conflict-of-laws rules.Except where prohibited by law, disputes will be brought in state or federal courts located inDelaware, and you consent to personal jurisdiction and venue in those courts.
We may update these Terms from time to time. The effective date above indicates the latest revision. Continued use after changes means you accept the updated Terms.
